1. Professional Services & Licensing

SeaRidge Advisory Inc. is a business brokerage and M&A advisory firm specializing in the lower-middle market.

  • California Disclosure: We are a licensed California Real Estate Broker (DRE #02382677).

  • Illinois Disclosure: We are a registered Business Broker in the State of Illinois (Registration #XXXXXXXX). All M&A activities are conducted in accordance with the regulatory requirements of these jurisdictions.

2. SEC M&A Broker Exemption (Stock Sales)

SeaRidge Advisory Inc. operates as an "M&A Broker" as defined under Section 15(b)(13) of the Securities Exchange Act of 1934. In accordance with federal "Safe Harbor" guidelines for the sale of privately held companies:

  • We do not engage in the public offering of securities.

  • Any securities transaction (stock sale) facilitated by the Firm involves a "controlled" transfer to a buyer who will be active in the management and operation of the business.

  • The Firm does not have custody of client funds or securities.

  • The Firm does not provide financing for transactions, though it may introduce parties to third-party commercial lenders.

3. No Professional Advice (Disclaimer)

The information provided on our websites, including business valuations, market reports, and listing descriptions, is for informational purposes only.

  • Not Legal/Tax Advice: We are not attorneys, CPAs, or certified tax advisors. Engaging our services does not create an attorney-client or accountant-client relationship.

  • Independent Verification: Buyers and sellers are strictly advised to consult with their own legal and financial professionals before executing any binding agreements.

5. Confidentiality & Non-Disclosure

Users seeking access to specific business listings or Confidential Information Memorandums (CIMs) are required to sign a formal Non-Disclosure Agreement (NDA). Even without a signed NDA, you agree to treat all non-public business information discovered through our platforms as strictly confidential.

6. Intellectual Property

All content on our websites—including logos, proprietary valuation models, listing copy, and design—is the exclusive property of SeaRidge Advisory Inc. You may not reproduce, distribute, or "scrape" our content for commercial use without express written consent.

7. Limitation of Liability

To the maximum extent permitted by law, SeaRidge Advisory Inc., its Managing Directors, employees, and agents shall not be liable for any direct, indirect, or consequential damages arising from:

  • Errors or omissions in business listings.

  • Decisions made based on our valuations or market analysis.

  • The failure of a transaction to close or the post-closing performance of a business.

8. Indemnification

You agree to indemnify and hold harmless SeaRidge Advisory Inc. and its directors from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms or your interactions with third parties through our Services.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California. Any disputes arising from these Terms or our Services shall be resolved exclusively in the state or federal courts located in San Diego, California.
